Securitize Registers Capital Affiliate as SEC Investment Adviser

Securitize Corp. (NYSE: SECZ) said Monday that its subsidiary Securitize Capital LLC is now registered with the U.S. Securities and Exchange Commission as an investment adviser. The registration became effective July 22, according to the SEC's Investment Adviser Public Disclosure database.
"Becoming an SEC-registered investment adviser is an important step in the continued expansion of Securitize's platform," Carlos Domingo, co-founder and CEO of Securitize, said in a statement. "Asset managers and institutional investors want to work with partners that understand both the opportunity of tokenization and the obligations that come with operating in regulated markets."
Securitize Capital had operated as an exempt reporting adviser in Florida since March 2023, a status that limits firms to advising venture capital funds or private funds with less than $150 million in U.S. assets under management. Registration lifts those caps and subjects the Miami-based unit to public disclosure, compliance, recordkeeping and examination requirements under the Investment Advisers Act of 1940.
Completing the Regulatory Stack
The advisory license completes the regulatory lineup that Securitize has assembled around tokenized securities. Its U.S. affiliates now span an SEC-registered investment adviser, Securitize Markets — an SEC-registered broker-dealer operating an SEC-regulated alternative trading system — Securitize Transfer Agent, and fund administrator Securitize Fund Services.
In May, FINRA approved Securitize Markets to custody tokenized securities and settle them atomically. In Europe, Securitize Europe Brokerage and Markets runs a trading and settlement system under the EU's DLT Pilot Regime.
Securitize said the registration positions it to deepen work with asset managers and institutional investors developing onchain investment strategies, including vaults and lending structures.
After Peirce's Vault Warning
The announcement lands five days after SEC Commissioner Hester Peirce warned that "involvement in managing vaults and lending strategies also may implicate investment adviser issues." In her July 22 statement, Peirce wrote that "as securities move onchain, vaults and onchain lending strategies may become mainstream tools for managing investment portfolios," and urged vault operators within the securities perimeter to "work with us to find a compliant path forward."
The vault business Peirce described is already sizable: risk-curator platforms, which manage allocations for onchain lending vaults, hold $8.1 billion in total value locked, according to DefiLlama. Tokenized real-world assets excluding stablecoins total $36.9 billion, per rwa.xyz, up 4.1% over the past month.
Citi Starts Coverage With Buy Rating
Separately, Citi analyst Peter Christiansen initiated coverage of Securitize with a Buy rating and a $10 price target, according to StreetInsider, calling the company "the critical infrastructure for the tokenization of real-world assets." The target implies roughly 34% upside from Friday's close of $7.47. Christiansen flagged client concentration in BlackRock's BUIDL fund, interest rate sensitivity and an uncertain path to high-margin transactional revenue as risks.
Securitize reported more than $5 billion in assets under management as of July 2026 across funds issued with BlackRock, Apollo, BNY, Hamilton Lane, KKR and VanEck. BUIDL, the tokenized Treasury fund it issues and services, holds $2.6 billion, per rwa.xyz.
The registration extends a run of moves since Securitize went public on the NYSE on July 2 through a merger with Cantor Equity Partners II that raised about $400 million in gross proceeds. The company tokenized its own stock on listing day, signed an agreement with Cantor Fitzgerald on July 15 to bring IPOs onchain, and is working with NYSE on tokenized securities trading infrastructure for the exchange's planned digital trading platform.
